A study of the corporate form of business organization, focusing on the formation, operation, and dissolution of corporations and the legal relationships between shareholders, directors, officers and other constituencies under state corporations codes. Course also includes an introduction to corporate finance and the federal securities laws.

This elective course is normally offered every year.
